Francesco Materazzi practices principally in the areas of corporate, international trade and customs, EU law, with emphasis on cross-border mergers and acquisitions, joint venture transactions, international sales and distribution transactions, technology transfers and licensing, cross-jurisdiction dispute resolutions, anti-dumping measures, countervailing measures and safeguards, export controls ,World Trade Organization law , EU competition law and EU and International public procurement.

In addition Francesco has also advised in relation to a broad range of yacht and super-yacht issues, including new-builds, sale, purchase, chartering, financing ,dispute resolution, insurance and management.

Recent transactions handled by Francesco Materazzi include:

  • Represented a EU consortium in connection with investigations by the UK Serious Fraud Office and the French “Parquet National Financiere” in connection with allegations of fraud, bribery, corruption and anticompetitive practices in multinational aerospace and defence company’s civil aviation business.  I represented the same consortium in several International commercial arbitrations filed by business partners.
  • Represented a company from South Korea in connection with investigations by EU Commission and French Competition Authority over allegations of potential anti-competition practices. Assisting with the review of electronic documents and drafting notes for the EU and French leniency program.
  • Represented SantéEtoile Communication as purchaser and H.I.G. Capital LLC, the venture  capital fund, in relation to the acquisition of Photo Communication S.P.A. for  approximately US$50 million. The companies involved were French and Italian and the work included cross-jurisdictional issues.
  • Represented Tirrenia di Navigazione – the State owned shipping company – and the Ministry for Transport in connection with the EC investigation on State Aids related to the public services financing for the provision of services of public interest.
  • Represented Sviluppo Italia( formerly Itainvest)- a leading italian public merchant bank – in relation to several investments and financing in private companies active in shipbulding, agriculture, etc.
  • Represented  Ericsson before the European Commission and the Italian Competition Authority in connection with the acquisition of certain network assets of H3G Hutchinson Group.
